1. Agreement to Terms

These Terms & Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or "buyer"), and Whiteclip ("we," "us," or "our"), concerning your access to and use of our website as well as any related B2B supply and export services for Pharmaceutical and Nutraceutical Active Pharmaceutical Ingredients (APIs).

2. Business-to-Business (B2B) Use Only

Whiteclip operates strictly as a Business-to-Business (B2B) supplier. Our products, including all APIs, nucleotide formulations, and vegan extracts, are intended solely for industrial, manufacturing, and laboratory use by qualified pharmaceutical and nutraceutical formulators. They are not intended for direct personal use or consumption by the general public.

By requesting a quotation or placing an order, you represent and warrant that you are a registered commercial entity authorized to handle, process, and formulate these materials.

3. Product Information and Specifications

While we strive to ensure that all information on our website is highly accurate, the specifications provided (including pharmacopoeial grades like USP, BP, EP) are for informational purposes. Formal product specifications, Certificates of Analysis (COA), Material Safety Data Sheets (MSDS), and Technical Data Sheets (TDS) will be provided alongside official quotations or upon specific request.

It is the buyer's absolute responsibility to verify that the ordered materials meet the regulatory and pharmacopoeial requirements of their specific formulations and the destination country's import laws.

4. Quotations, Orders, and Export Compliance

• Quotations: All price quotations are subject to change based on market fluctuations, raw material availability, and currency exchange rates until a formal Purchase Order is accepted by Whiteclip.
• Compliance: The buyer assumes full responsibility for ensuring that the importation, storage, and use of our APIs comply with all applicable local, state, and international laws, including obtaining necessary import licenses or permits.
• Logistics: Export terms (e.g., FOB, CIF, EXW) will be clearly defined in individual commercial invoices. Risk of loss passes to the buyer in accordance with the agreed-upon Incoterms.

5. Intellectual Property

All content on the Whiteclip website, including but not limited to text, graphics, logos, molecular illustrations, structural layouts, and underlying code, is our exclusive property or the property of our licensors and is protected by copyright and intellectual property laws. You may not copy, reproduce, or distribute any part of this website for commercial purposes without our express written consent.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Whiteclip and its directors, employees, or agents shall not be liable for any indirect, consequential, incidental, or punitive damages, including lost profits or business interruption, arising out of your use of our website or the application of our supplied raw materials. Our maximum liability in connection with any supplied product shall be strictly limited to the purchase price paid for that specific product batch.

7. Governing Law and Jurisdiction

These Terms & Conditions and any separate agreements whereby we provide you services or products shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or related to these terms shall be subject to the exclusive jurisdiction of the courts located in Ahmedabad, Gujarat, India.
